1.1 By signing up for ZapSplat Projects by ZapSplat Pty Ltd, you agree to pay the monthly subscription fee as outlined on our website.
1.2 Subscription fees are charged on a recurring basis until cancellation.
1.3 You may cancel your subscription at any time, but no refunds will be issued for partial months.
1.4 We reserve the right to change subscription fees upon reasonable notice to you. Any changes in subscription fees will be communicated to you via email and will not affect your current subscription period.
1.5 If your payment method fails or your account is past due, we reserve the right to suspend or terminate your subscription until payment is made in full.
1.6 In the event of termination or cancellation of your subscription, you will lose access to the features and content available through our website.
2.1 Additional features and services, known as add-ons, may be available for purchase. These add-ons will incur extra charges, which will be clearly communicated to you before purchase.
2.2 Payment for add-ons is due at the time of purchase and is non-refundable.
2.3 Add-ons may be subject to their own terms and conditions, which will be presented to you at the time of purchase.
2.4 We reserve the right to change or discontinue add-ons at any time, with or without notice.
3.1 Users are permitted to upload audio files to ZapSplat Projects, provided that these files do not violate copyright laws, contain pornography, or promote abuse in any form.
3.2 We reserves the right to remove any audio files that violate these terms without prior notice.
3.3 You retain all rights to the audio files you upload.
3.4 You represent and warrant that you have all necessary rights, licenses, and permissions to upload and share the audio files you submit to ZapSplat Projects.
3.5 You agree to indemnify and hold harmless ZapSplat Pty Ltd and its affiliates from any claims arising out of your violation of these terms.
4.1 Users must not infringe upon the copyrights of others when using ZapSplat Projects. Any content uploaded or shared must be owned by the user or used with proper permission.
4.2 If you believe that your copyright has been infringed upon by a user of ZapSplat Projects, please contact us immediately at support@zapsplat.com. We will investigate the matter promptly and take appropriate action, including removal of the infringing content and termination of the user's account if necessary.
4.3 We may provide your contact information to the user who has allegedly infringed your copyright, so that they may respond to your claim.
5.1 Users are prohibited from attempting to reverse engineer, decompile, or disassemble any part of the ZapSplat Projects website and software.
5.2 Any unauthorized access or attempt to access our software will result in immediate termination of your account and legal action if deemed necessary.
5.3 You agree not to use any automated systems or software to access ZapSplat Projects, unless expressly permitted by us.
6.1 ZapSplat Projects is provided "as is" without any warranties, express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.
6.2 We do not warrant the accuracy, completeness, or reliability of any content available through ZapSplat Projects.
6.3 You acknowledge and agree that your use of ZapSplat Projects is at your own risk.
6.4 We disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.1 In no event shall ZapSplat Pty Ltd or its affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our services.
7.2 Our total liability, whether in contract, warranty, tort (including negligence), or otherwise, shall not exceed the total amount paid by you for the use of ZapSplat Projects in the twelve months preceding the claim.
7.3 We shall not be liable for any loss of profits, loss of business or business opportunities, loss of data, or any other indirect, incidental, special, or consequential damages.
7.4 Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
8.1 ZapSplat Pty Ltd reserves the right to modify these terms and conditions at any time. Users will be notified of any changes, and continued use of our services constitutes acceptance of the modified terms.
8.2 It is your responsibility to review these terms and conditions periodically for any changes.
8.3 If you do not agree with any changes to the terms and conditions, you must cease using ZapSplat Projects and cancel your subscription.
9.1 These terms and conditions shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
9.2 Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Australia.
9.3 The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms and conditions.
